Third-party services may have their own terms, policies, availability requirements and fees.

I-Rock is not responsible for the operation, availability or policies of third-party services that are outside I-Rock’s control.

Unless otherwise stated:

  • Fees are payable according to the selected billing period.

13. Feedback

If you provide suggestions, ideas, recommendations or other feedback about an I-Rock service, you agree that I-Rock may use that feedback to improve its products without owing you compensation, provided that I-Rock does not disclose your confidential information in doing so.

14. Service Availability

However, the services may occasionally be unavailable because of:

  • Scheduled maintenance
  • Emergency maintenance
  • Technical failures
  • Internet or telecommunications problems
  • Third-party service failures
  • Security incidents
  • Events outside our reasonable control

We do not guarantee uninterrupted or error-free availability.

15. Backups and Data Recovery

I-Rock may maintain backups of customer data as part of normal service operations.

Backups are intended to support service continuity and recovery but do not replace the customer’s responsibility for maintaining appropriate records and complying with applicable record-keeping requirements.

Where appropriate, customers should maintain copies of important business records.

16. Confidentiality

Each party may receive confidential information belonging to the other party.

The receiving party will use reasonable measures to protect confidential information and will not disclose it except:

  • To authorised personnel or service providers who need it for legitimate purposes
  • Where required by law
  • Where reasonably necessary to provide the services
  • With the other party’s consent

Confidentiality obligations do not apply to information that is publicly available through no breach of these Terms, was lawfully known before disclosure, or is independently developed without use of confidential information.

17. Privacy

I-Rock’s processing of personal information is described in the I-Rock Privacy Policy.

The Privacy Policy forms part of the overall framework governing use of the services.

18. Security

You must use the services responsibly and maintain appropriate security practices within your organisation.

I-Rock will implement reasonable technical and organisational security measures appropriate to the nature of its services.

No software, internet connection or electronic storage system can be guaranteed to be completely secure.

To the maximum extent permitted by applicable law, the services are provided on an “as available” basis.

I-Rock does not guarantee that:

  • The service will always be available
  • The service will be completely error-free
  • Every feature will meet every particular business requirement
  • Information entered by users will be accurate
  • Third-party services will remain available
  • Outputs from the service will always be suitable for a particular business, tax, accounting, customs or regulatory purpose

Users remain responsible for reviewing important information and making appropriate business and compliance decisions.

Nothing in these Terms excludes any rights or protections that cannot lawfully be excluded.

20. Limitation of Liability

To the maximum extent permitted by applicable law, I-Rock will not be liable for indirect, incidental, special or consequential loss arising from the use of or inability to use the services, including loss of profits, revenue, business opportunities or anticipated savings.

Nothing in these Terms limits liability to the extent that such limitation is prohibited by applicable law.

Where liability may lawfully be limited, I-Rock’s total liability arising from the applicable service will be limited to the amount paid by the customer to I-Rock for that service during the [six/twelve] months immediately preceding the event giving rise to the claim.

21. Indemnity

To the extent permitted by applicable law, you agree to indemnify and hold I-Rock harmless from claims, losses, liabilities and reasonable costs arising from:

  • Your unlawful use of the services
  • Your breach of these Terms
  • Your violation of another person’s rights
  • Customer Data that you did not have the right or authority to provide
  • Actions taken by users under your account

This section does not apply to the extent that the claim resulted from I-Rock’s own unlawful conduct or obligations that cannot legally be transferred to you.

22. Suspension for Security or Legal Reasons

I-Rock may temporarily restrict access where reasonably necessary to:

  • Protect the security of the services
  • Protect other customers
  • Investigate suspected abuse
  • Prevent unauthorised access
  • Comply with a legal or regulatory requirement

Where reasonably possible, I-Rock will communicate the reason for the restriction and work to restore access once the relevant issue has been addressed.

23. Data Following Termination

Following termination of an account, Customer Data may remain available for a limited period to allow for account closure, data export, backup retention and legal or regulatory requirements.

Subject to applicable law and I-Rock’s retention obligations, Customer Data may subsequently be deleted or anonymised.

Where the service provides a data-export function, customers should export required information before terminating their account.

24. Changes to the Services

I-Rock may modify, improve, replace or discontinue features of its services from time to time.

Where a material change significantly affects an active paid service, I-Rock will provide reasonable notice where practicable.

Nothing in these Terms requires I-Rock to maintain a particular feature indefinitely.

25. Changes to These Terms

I-Rock may update these Terms from time to time.

The updated Terms will be published through the applicable website or service.

Where changes are material, I-Rock will provide reasonable notice where required.

Continued use of the service after the effective date of updated Terms constitutes acceptance of the updated Terms to the extent permitted by law.

26. Electronic Communications

You agree that I-Rock may communicate with you electronically regarding your account, subscription, security, service updates and other matters relating to your use of the services.

Electronic communications may include email, notifications within the service, SMS or other electronic communication methods where appropriate.

The Electronic Communications and Transactions Act, 2021 provides a legal framework for electronic transactions and communications in Zambia.

27. Governing Law

These Terms are governed by the laws of the Republic of Zambia.

Subject to any mandatory rights available under applicable law, disputes arising from these Terms or the services shall be subject to the jurisdiction of the courts of Zambia.

28. General

If any provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply.

Failure by I-Rock to enforce a provision does not constitute a waiver of that provision.

These Terms, together with the applicable Privacy Policy and any applicable subscription or service-specific terms, constitute the agreement governing your use of the services.
